Terms of Service

1. Agreement
These Terms of Service (the “Terms”) govern your access to and use of ClockMate (the “Service”), operated by an individual developer based in New South Wales, Australia (“we”, “us”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you are using ClockMate on behalf of a company, you represent that you are authorised to bind that company to these Terms.
2. The Service
ClockMate is a cloud-based time & attendance platform. Employees clock in and out using facial recognition and GPS geofencing, and administrators get attendance records, payroll-ready exports, and an audit log. Features may change, improve, or be discontinued over time.
3. Accounts & eligibility
- You must provide accurate account information and keep your credentials secure.
- You are responsible for all activity under your account and for your employees’ use of the Service.
- You must have the legal right and any necessary employee consents to collect and process the data you put into ClockMate (see our Privacy Policy).
4. Subscriptions, trials & billing
- Free trial: new companies get a 14-day free trial. No card is required to start it.
- Plans: paid plans are tiered by team size and billed monthly or annually in the currency you select. Annual plans are billed once for the year.
- Auto-renewal: subscriptions renew automatically at the end of each billing period until cancelled.
- Payments: billing is processed by Stripe; by subscribing you also agree to Stripe’s terms. We don’t store full card details.
- Taxes: prices are exclusive of taxes (e.g. GST) unless stated otherwise; applicable taxes are added at checkout.
- Price changes: we may change prices with at least 30 days’ notice; changes take effect at your next renewal.
5. Cancellation & refunds
- You can cancel anytime from Billing → Manage subscription in your admin dashboard.
- On cancellation you keep access until the end of the period you’ve already paid for; we do not bill you again after that.
- Payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or downgrades, except where required by law.
- During the free trial you are not charged, so cancelling before it ends means no payment is taken.
6. Acceptable use
You agree not to:
- Use the Service unlawfully, or to enrol or track individuals without their required consent.
- Attempt to breach security, access other tenants’ data, or disrupt the Service.
- Reverse engineer, resell, or abuse the Service or its infrastructure.
We may suspend accounts that put the platform or other customers at risk.
7. Your data & privacy
You retain ownership of the data you put into ClockMate. We process it to provide the Service as described in our Privacy Policy, which forms part of these Terms. You are the data controller for your employees’ data; we act as your processor.
8. Intellectual property
The Service, including its software, design, and branding, is our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active.
9. Warranties & disclaimer
The Service is provided “as is”without warranties of any kind, to the extent permitted by law. We don’t guarantee uninterrupted or error-free operation, and facial recognition and geofencing are aids that may not be 100% accurate. Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses, and our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim.
11. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination we will delete data per the retention periods in the Privacy Policy.
12. Changes to these Terms
We may update these Terms as the Service evolves. Material changes bump the version string shown at the top of this page; continued use after a change means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
